Services: RevDeal’s services are provided through this Website (collectively, the “Service”), which is a workflow management tool allowing entities and individuals (collectively, “Banker Users”) to communicate and share documents and/or information with participating individuals and entities (“Buyer Users”) and third-party attorneys, agents and representatives of Buyer Users and Banker Users (“External NDA Reviewers”) to evaluate potential business transactions (each a “Deal”). By visiting RevDeal’s Website and/or participating in the Service you agree to be bound by these Terms of Use, including those additional terms and conditions and policies referenced herein and available by hyperlink. These Terms apply to all users of the Website, including without limitation users who are browsers, Banker Users, Buyer Users and External NDA Reviewers.
General Use Restrictions: RevDeal or third parties granting rights to RevDeal hold all right, title, and interest in and to the materials on this Website, which are the copyrighted work of RevDeal or such third parties. RevDeal grants you a limited, personal, non-exclusive and non-transferable license to use and display the materials only for purposes associated with your interaction with this Website. This limited license terminates automatically, without notice to you, if you breach any of these Terms. Upon termination, you must immediately destroy any downloaded and printed materials. You have no right, title, or interest (and no copyright, trademark or other intellectual property right) in or to the Website and you agree not to “frame” or “mirror” the Website, any material contained on or accessible from this Website on any other server or Internet-based device without the advanced written authorization of RevDeal.
In RevDeal’s efforts to promote good citizenship within the Internet community, if RevDeal becomes aware of inappropriate use of the Website or any of its Services (defined below), RevDeal will respond in any way that, in its sole discretion, RevDeal deems appropriate. You acknowledge that RevDeal will have the right to report to law enforcement authorities any actions that might be considered illegal, as well as any reports it receives of such conduct. You are solely responsible for the profiles (including your name, company name, image, and likeness), data, emails, messages, notes, text, information and other content that you upload, publish or display (hereinafter, “post”) on or through this Website, or transmit to or share with other users (collectively the “User Content”). You may not post, transmit, or share User Content on the Website that you did not create or that you do not have permission to post. You understand and agree that RevDeal may, but is not obligated to, review the Website and may delete or remove (without notice) any Website content or User Content in its sole discretion, for any reason or no reason, including User Content that in the sole judgment of RevDeal violates this, or which might be offensive, illegal, or that might violate the rights, harm, or threaten the safety of users or others. You are solely responsible at your sole cost and expense for creating backup copies and replacing any User Content you post or store on the Website or provide to RevDeal. You agree that under no circumstances will RevDeal be liable in any way for any loss or damage to any content you post, email, or otherwise make available to RevDeal.
When you post User Content to the Website, you authorize and direct RevDeal to make such copies thereof as RevDeal deems necessary in order to facilitate the posting and storage of the User Content on the Website. By posting User Content to any part of this Website, you automatically grant, and you represent and warrant that you have the right to grant to RevDeal an irrevocable, perpetual, non-exclusive, transferable, fully paid, worldwide license (with the right to sublicense) to use, copy, reformat, translate, excerpt (in whole or in part) and distribute such User Content in connection with this Website , to prepare derivative works of, or incorporate into other works, such User Content, and to grant and authorize sublicenses of the foregoing. We do not claim ownership of any User Content and make no representation or warranty as to the accuracy or completeness of any User Content. RevDeal does not endorse any User Content or any opinion, recommendation, or advice expressed therein, and we expressly disclaim any and all liability in connection with any User Content. RevDeal does not permit copyright infringing activities and infringement of intellectual property rights in connection with the Services, and RevDeal will remove all User Content if properly notified that such User Content infringes on another’s intellectual property rights. RevDeal may terminate your access to the Website if you are determined to be a repeat infringer. A repeat infringer is anyone who has been notified of infringing activity more than once and/or has had any User Content removed from the Website more than twice. RevDeal also reserves the right to decide whether Content or User Content is appropriate and complies with these Terms for violations other than copyright infringement and violations of intellectual property law, such as, but not limited to, pornography, obscene or defamatory material, or excessive length. RevDeal may remove such User Content and/or terminate your access for uploading such material in violation of these Terms at any time, without prior notice and at RevDeal’s sole discretion.

Buyer Users
If you are a Buyer User, you accept responsibility for yourself in the use of the Service. You acknowledge and understand that User Content which you upload, display, transmit or publish through the Website will only be accessible to Banker Users associated with the specific Deal for which you are using the Services and your employees, colleagues or other Users associated with your Account. While RevDeal uses commercially reasonable efforts to maintain security and confidentiality of User Data, Buyer User recognizes and agrees that hosting data online involves risks of unauthorized disclosure or exposure and that, in accessing and using the Website and Service, Buyer User assumes such risks. RevDeal offers no representation, warranty, or guarantee that User Data will not be exposed or disclosed through errors or the actions of Buyer User, other Users or any third parties.
External NDA Reviewers
If you are an External NDA Reviewer, you accept responsibility for yourself in the use of the Service. You acknowledge and understand that User Content which you upload, display, transmit or publish through the Website will only be accessible to Banker Users and Buyer Users associated with the specific Deal for which you are using the Services and your employees, colleagues or other Users associated with your Account. While RevDeal uses commercially reasonable efforts to maintain security and confidentiality of User Data, External NDA Reviewer recognizes and agrees that hosting data online involves risks of unauthorized disclosure or exposure and that, in accessing and using the Website and Service, External NDA Reviewer assumes such risks. RevDeal offers no representation, warranty, or guarantee that User Data will not be exposed or disclosed through errors or the actions of External NDA Reviewer, other Users or any third parties.
Banker Users
If you are a Banker User, you accept responsibility for yourself in the use of the Service. You acknowledge and understand that User Content which you upload, display, transmit or publish through the Website will only be accessible to Buyer Users associated with the specific Deal for which you are using the Services and your employees, colleagues or other Users associated with your Account. Further, access to User Content which you upload, display, transmit or publish through the Website may be further limited to Buyer Users who execute a confidentiality and non-disclosure agreement (or similar document). While RevDeal uses commercially reasonable efforts to maintain security and confidentiality of User Data, Banker User recognizes and agrees that hosting data online involves risks of unauthorized disclosure or exposure and that, in accessing and using the Website and Service, Banker User assumes such risks. RevDeal offers no representation, warranty, or guarantee that User Data will not be exposed or disclosed through errors or the actions of Banker User, other Users or any third parties.
Confidentiality
“Confidential Information” means any and all information disclosed by or at the direction of you or RevDeal to the other in connection with the provision or use of the Services, irrespective of any confidentiality requirement from a disclosing party, presence or absence of the confidentiality label on the information, form of the information, or its content.
